Terms and Conditions

Last updated: [14th October 2026]

These Terms and Conditions (“Terms”) govern your use of https://tsh.media and any services provided by tsh.media (“tsh.media”, “we”, “us” or “our”), a brand of SBB INFOTECH, a digital marketing agency in India. By using our website or engaging our services, you (“Client” or “you”) agree to these Terms. If you have also signed a proposal, Statement of Work (SOW) or service agreement with tsh.media, that document prevails wherever it conflicts with these Terms.

1. Use of Our Website

You agree to use this website only for lawful purposes. You must not try to hack or disrupt it, copy or scrape its content in bulk, or upload malicious code. All content on the website is for general information only and is not professional, legal or financial advice. How we handle personal data collected through this website is explained in our Privacy Policy.

2. Our Services

tsh.media offers a wide range of digital marketing services, including:

The exact scope, deliverables, timelines and fees for each project are set out in the proposal or SOW you accept. Any work outside that scope will be quoted and billed separately.

3. Proposals and Onboarding

Proposals and quotes from tsh.media are valid for [30] days unless they say otherwise. Work begins once we receive the signed proposal (or written acceptance by email) and any advance payment that is due.

4. Fees, Payments and Taxes

  • All fees are quoted in Indian Rupees (INR). GST is charged on top at the applicable rate.
  • Monthly retainers are billed in advance. Project fees are billed according to the milestones in the proposal.
  • Invoices are payable within [7] days of the invoice date.
  • Late payments may attract interest of [5%] per month. tsh.media may also pause services until outstanding dues are cleared.
  • Advance payments are non-refundable once work has started, unless agreed otherwise in writing.
  • Advertising spend on Google, Meta, LinkedIn or other platforms is separate from our management fees. It is paid by the Client directly to the platform, unless agreed otherwise in writing.

5. Client Responsibilities

The Client agrees to:

  • provide accurate information, content, brand assets and timely approvals, normally within [5] working days of a request
  • provide access to the accounts needed to deliver the work, such as the website CMS, hosting, ad accounts, analytics and social media profiles
  • keep ownership of their domain, hosting and advertising accounts in the Client’s own name
  • make sure all materials they supply are lawfully owned or licensed
  • make sure all product claims, offers and advertising content comply with applicable laws, ASCI guidelines and platform policies

Delays caused by late approvals or missing inputs may extend project timelines.

6. No Guarantee of Results

Search engine rankings, traffic, leads, sales and return on ad spend depend on factors outside our control, including algorithm updates, competition, platform policies and market conditions. tsh.media does not guarantee specific rankings (such as a #1 position on Google), traffic levels or business outcomes. We commit to doing the work professionally, ethically and in line with industry best practices.

7. Third-Party Platforms and Tools

Our services often rely on third-party platforms, including Google, Meta, LinkedIn, YouTube, Shopify, WordPress and WooCommerce, as well as hosting providers and plugins. Their use is governed by those platforms’ own terms. tsh.media is not liable for account suspensions, ad rejections, policy changes, outages, or plugin and software updates made by these third parties.

8. Intellectual Property

Once full payment is received, the Client owns the final approved deliverables created specifically for them, such as designs, website code, content and videos.

tsh.media keeps ownership of its pre-existing tools, templates, frameworks, processes and know-how. Stock images, fonts, themes and licensed software are subject to their own licence terms.

Unless the Client asks otherwise in writing, tsh.media may show non-confidential work in its portfolio and case studies.

9. Revisions and Approvals

Each project includes the number of revision rounds stated in the proposal. Extra revisions, or changes to an approved scope, are billed at our standard rates. Once a deliverable is approved, it is considered final.

10. Confidentiality

Both parties will keep confidential any non-public business, technical or financial information they receive from the other party. Such information will only be used for the purposes of the engagement. This obligation continues after the engagement ends.

11. Data Protection

Both parties will comply with the Digital Personal Data Protection Act, 2023 and other applicable data protection laws. Where tsh.media processes personal data on the Client’s behalf (for example, leads from ad campaigns), the Client acts as the Data Fiduciary and tsh.media as the Data Processor. See our Privacy Policy for details.

12. Term and Termination

Either party may end a retainer by giving [30] days’ written notice. Either party may also terminate immediately if the other commits a material breach that is not fixed within [15] days of written notice.

On termination, the Client must pay for all work completed up to the termination date. Once all dues are cleared, tsh.media will hand over account access and project files.

13. Limitation of Liability

To the maximum extent permitted by law, tsh.media’s total liability under any engagement is limited to the fees the Client paid in the [3] months before the claim. tsh.media is not liable for indirect, incidental or consequential losses, including lost profits, lost revenue or lost data.

14. Indemnity

The Client agrees to indemnify tsh.media against any claims, losses or legal costs arising from:

  • materials supplied by the Client
  • the Client’s products, services or advertising claims
  • the Client’s breach of these Terms or of applicable law

15. Non-Solicitation

During the engagement and for [12] months after it ends, the Client agrees not to directly hire any tsh.media employee who worked on the Client’s account without our written consent.

16. Force Majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control. These include natural disasters, pandemics, government actions, internet or power outages, and platform-wide failures.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. The parties will first try to resolve any dispute amicably within [30] days.

If the dispute is not resolved, it will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat of arbitration will be Mumbai, and proceedings will be held in English. Subject to this, the courts in Mumbai, Maharashtra will have exclusive jurisdiction.

18. Changes to These Terms

tsh.media may update these Terms from time to time. The latest version will always be posted on this page with a revised “Last updated” date. If you keep using our website or services after an update, you accept the revised Terms.
